CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement (“Agreement”) is made and agreed to by Uncontained Living (“Developer”) with respect to its interest in a potential debt offering for the property currently in escrow (the “Property”), and the undersigned Prospective Lender (“Lender”).
Lender has requested information from the Developer for the purpose of evaluating a potential financing arrangement related to the Property. Developer has obtained confidential information regarding the Property, and such information will only be provided to Lenders who execute this Agreement.
The parties agree, in consideration of the covenants and agreements contained herein, as follows:
- Confidentiality Obligations
- Lender shall not disclose, permit the disclosure of, release, disseminate, or transfer any information obtained under this Agreement (“Information”) to any other person or entity without prior written consent from the Developer.
- If Lender is a corporation, partnership, limited liability company, or other legal entity, the individual signing this Agreement on its behalf shall take all appropriate precautions to limit the dissemination of the Information only to those persons within the entity who have a need to know and who are specifically aware of this Agreement and agree to honor it.
- This Agreement applies to all Information received from the Developer, now or in the future, which is not readily available to the general public. Lender understands that all Information is deemed confidential, valuable, and proprietary, and its unauthorized disclosure, even without intent to harm, could cause substantial and irreparable harm to the Developer.
- Use of Information
- All Information shall be used solely for the purpose of evaluating a potential financing arrangement related to the Property and shall not be used for any other purpose.
- Lender shall not contact or attempt to contact the property’s listing agent, seller, owner, tenants, employees, suppliers, contractors, or any other party associated with the Property without the prior written consent of the Developer.
- Non-Circumvention
- Lender agrees that it shall not, directly or indirectly, circumvent Developer by attempting to negotiate, enter into, or facilitate any transaction related to the Property, including but not limited to financing, purchase, or partnership, with the property owner, listing agent, or any affiliated party, without Developer’s prior written consent.
- Any breach of this non-circumvention clause shall entitle the Developer to seek injunctive relief, damages, and any other remedies available under law.
- No Representation or Warranty
- Neither Developer nor any of its representatives make any representations or warranties, express or implied, as to the accuracy or completeness of any Information provided. Lender assumes full responsibility for reconfirming and verifying all Information received and expressly waives any claims against Developer arising from the same.
- Authority
- The persons signing this Agreement on behalf of the respective parties represent that they have the authority to bind their respective organizations to this Agreement.
- Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
- Indemnification
- Lender agrees to indemnify, defend, and hold harmless Developer from and against any loss, liability, expense, claim, or damage, including reasonable attorneys’ fees, arising out of any claim by any broker, finder, or similar agent for commissions, fees, or other compensation related to any financing or transaction associated with the Property.
- Reservation of Rights
- Developer expressly reserves the right, at its sole discretion, to reject any or all expressions of interest or offers regarding financing and/or to terminate discussions with any party at any time, with or without notice. The Developer shall have no legal commitment or obligation to any party reviewing the Information unless and until a written financing agreement has been fully executed, delivered, and approved by all necessary parties.
- Broker Representation
Lender acknowledges that Juan Cuevas of Uncontained Living is representing Uncontained Living in the sale of the property, and if Lender or any affiliated entity successfully provides financing for the Property within twelve (12) months from the date of this Agreement, it is hereby acknowledged that Juan Cuevas of Uncontained Living is the procuring cause.
